GLOBAL INFO EDGE — ADVERTISING MANAGEMENT TERMS & PAYMENT TERMS & CONDITIONS

ADVERTISING MANAGEMENT TERMS

  1. STANDARD PUBLIC PLAN — MANAGEMENT RETAINER & INCLUDED SCOPE
    1.1 Management Retainer (Public): ₹55,000 per 30-day active management period.
    1.2 Retainer includes campaign management for ad budgets up to ₹150,000 per month.
    1.3 Included channels: Up to 3 advertising channels (e.g., Google Ads, Meta Ads, LinkedIn Ads) — channels to be confirmed in the scope of work.
    1.4 Services included in the Standard Public Plan:
    1.4.1 Campaign setup and initial configuration.
    1.4.2 Ongoing campaign monitoring and optimisation.
    1.4.3 Keyword expansion and negative keyword management (search).
    1.4.4 Conversion tracking maintenance (GA4 + GTM) and phone-call tracking checks.
    1.4.5 Weekly performance reporting and insights.
    1.4.6 Landing page review and quick-fix recommendations.
    1.4.7 Lead quality monitoring and recommendations for conversion improvements.
    1.5 Advertising platform media spend (Google, Meta, LinkedIn, etc.) is NOT included in the retainer unless the Agency-Managed option is selected (see section 4).

  2. HYBRID TIER PRICING MODEL (TIERED % ON INCREMENTAL SPEND)
    2.1 Overview: Agency charges a fixed retainer + tiered percentage management fees on incremental ad spend above the included limit. Percentages reduce as spend increases. Fees are calculated on the portion of spend that falls into each tier unless otherwise agreed in writing.
    2.2 Pricing tiers (apply to incremental spend within each tier):
    2.2.1 Tier 1 — Up to ₹150,000 per month: Included in retainer (no extra % fee).
    2.2.2 Tier 2 — ₹150,001 to ₹500,000: 15% on the amount in this tier.
    2.2.3 Tier 3 — ₹500,001 to ₹1,000,000: 12% on the amount in this tier.
    2.2.4 Tier 4 — ₹1,000,001 and above: 10% on the amount in this tier (10% by default; 8% may be offered for strategic, high-volume partners by written agreement).
    2.3 Minimum fee floor: If the total calculated management fee for the month is less than the agreed minimum monthly management fee, the minimum applies. Default minimum = ₹55,000 unless agreed otherwise in writing.
    2.4 Retainer tiers (Global Info Edge suggested):
    2.4.1 Standard Management Retainer: ₹55,000 per month (includes campaign management for advertising budgets up to ₹1,50,000 per month across approved channels).
    2.4.2 Premium / Complex Accounts: ₹85,000 – ₹1,50,000 per month (applicable for multi-geo campaigns, large product catalogues, multiple campaigns, advanced tracking setups, or complex funnel management).
    2.5 Advance Commitment Pricing & Discounts (Retainer Fees Only)
    2.5.1 3-Month Advance Commitment — 5% discount (retainer fees only). Calculation (digit-by-digit):
    • Monthly retainer = ₹55,000
    • 3 × 55,000 = 165,000
    • Discount 5% of 165,000 = 8,250
    • Total payable (3-month advance) = 165,000 − 8,250 = ₹156,750
    2.5.2 6-Month Advance Commitment — 10% discount (retainer fees only). Calculation:
    • Monthly retainer = ₹55,000
    • 6 × 55,000 = 330,000
    • Discount 10% of 330,000 = 33,000
    • Total payable (6-month advance) = 330,000 − 33,000 = ₹297,000
    2.5.3 12-Month Advance Commitment — 15% discount (retainer fees only). Calculation:
    • Monthly retainer = ₹55,000
    • 12 × 55,000 = 660,000
    • Discount 15% of 660,000 = 99,000
    • Total payable (12-month advance) = 660,000 − 99,000 = ₹561,000
    2.5.4 Terms for advance discounts: Discounts apply only when the full retainer amount is paid in advance for the selected period and apply to management retainer fees only (they do NOT apply to pass-through advertising platform spend). Advance payments are non-refundable except as required by law or agreed in writing. Agency will invoice the full discounted amount up front.
    2.6 Alternate simple % option: By mutual written agreement the agency may apply a single % on total spend for a month (example: 15% on total spend) — only if agreed prior to campaign start.

  3. OTHER BILLING & COMMERCIAL NOTES
    3.1 Volume discounts: Agency may offer reduced % (eg. 8%–10%) for long-term commitments or very high monthly spends by written agreement.
    3.2 Contract minimum term: Agency recommends a minimum commitment of 3 months for optimal results; longer commitments may attract discounts or credits.
    3.3 Termination / notice: A 30–60 day written notice period is recommended for contract termination to protect ramp-up efforts and prevent immediate account handover.
    3.4 Intellectual property: Campaign creative, landing pages and tracking setups remain the property of the agency until full payment is received, unless otherwise agreed in writing.

  4. OPTIONAL: AGENCY-MANAGED ADVERTISING SPEND (PASS-THROUGH BILLING)
    4.1 If the client requests Global Info Edge to handle media billing on platforms, the Agency-Managed option applies.
    4.2 Advance payment requirements for Agency-Managed:
    4.2.1 Client must pay 100% advance for the estimated monthly advertising platform budget (pass-through media spend).
    4.2.2 Client must pay the campaign management service fee (retainer + calculated tier fees) in advance for the billing period.
    4.3 Invoice structure when Agency-Managed:
    4.3.1 Invoice will itemise: (a) Pass-through advertising platform spend (media); and (b) Agency campaign management fees.
    4.3.2 GST @ 18% is charged on agency service fees. Pass-through media spend will be shown separately; GST treatment on pass-through spend follows prevailing tax rules.
    4.4 Budget increases and adjustments: Any mid-month increase to the approved ad budget requires additional advance payment prior to implementation.
    4.5 Reporting & transparency: Agency will provide spend reconciliation, platform screenshots or access evidence, and monthly budget utilisation summaries. Agency is not responsible for platform billing delays or platform policy suspensions.
    4.6 No refunds for spent media: Once media spend is executed on the platform, amounts spent are non-refundable by Global Info Edge. Any platform refunds (if issued by platform) will be reconciled and credited per platform policy.

PAYMENT TERMS & CONDITIONS

  1. INVOICE DUE DATE AND PAYMENT METHODS
    5.1 All invoices are payable within 1 (one) day from the invoice date, unless a different payment schedule is agreed in writing.
    5.2 Accepted payment methods: Bank transfer, UPI, or other modes as specified on the invoice. Bank details provided on invoice.

  2. WEBSITE DESIGN & DEVELOPMENT PROJECTS
    6.1 For website projects: 50% deposit payable on receipt of order; remaining 50% payable on delivery of the completed project.

  3. DIGITAL MARKETING & PERFORMANCE MARKETING SERVICES (RETAINERS & AGENCY-MANAGED)
    7.1 For digital marketing services and monthly retainers (including Agency-Managed option): 100% advance payment is required before the start of each service period unless an advance commitment (section 2.5) is agreed.
    7.2 Agency will begin work only after receipt of required advance payments and provision of required platform access/approvals.

  4. EARLY PAYMENT INCENTIVE
    8.1 If the client’s payment for an invoice is received within 7 days of the invoice date, client is eligible for a 1% credit, which will be applied to the next month’s invoice.

  5. LATE PAYMENT CHARGES & COLLECTIONS
    9.1 If payment is not received by the due date, late charges will apply as follows:
    9.1.1 Interest at 0.15% per day on the outstanding amount, OR
    9.1.2 Fixed charge of ₹100 per day,
    9.1.3 whichever of 9.1.1 or 9.1.2 results in the higher amount will be levied daily until payment is made.
    9.2 If client fails to pay after several reminders, Global Info Edge reserves the right to:
    9.2.1 Immediately suspend or stop delivery of goods and/or services; and
    9.2.2 Withhold access to campaign accounts, reports, and any deliverables until outstanding invoices are cleared.
    9.3 Any costs of collection, legal fees, or recovery charges incurred by the agency to recover overdue amounts will be recoverable from the client.

  6. RECURRING INVOICES & BILLING CYCLE
    10.1 Recurring invoices may be issued for regular monthly services (retainers, management fees, hosting, consulting, etc.).
    10.2 Recurring invoices will follow the payment terms stated in this document unless otherwise agreed in writing.

  7. TAXES & INVOICE PRESENTATION
    11.1 All agency service fees are exclusive of GST unless explicitly stated; GST will be shown separately on the invoice at applicable rates (currently 18% for service fees).
    11.2 Pass-through ad platform spend will be shown as a separate line item if Agency-Managed; GST treatment on pass-through spend follows platform/local tax rules and will be clearly displayed.

  8. EXAMPLES (FOR QUICK REFERENCE WITH UPDATED RETAINER)
    12.1 Example A — Standard Public Plan within included limit: Monthly ad spend ₹1,20,000
    12.1.1 Retainer (Standard Public) = ₹55,000.
    12.1.2 Management fee on incremental spend = ₹0.
    12.2 Example B — Mid spend (Standard Public Plan): Monthly ad spend ₹3,00,000
    12.2.1 Tier 2 amount = ₹3,00,000 − ₹1,50,000 = ₹1,50,000 → Fee = 15% of ₹1,50,000 = ₹22,500.
    12.2.2 Total Agency Fee = Retainer ₹55,000 + Management Fee ₹22,500 = ₹77,500 (plus GST on service fees if applicable).
    12.3 Example C — High spend (Standard Public Plan): Monthly ad spend ₹12,00,000
    12.3.1 Tier 2 amount = ₹5,00,000 − ₹1,50,000 = ₹3,50,000 → Fee = 15% of ₹3,50,000 = ₹52,500.
    12.3.2 Tier 3 amount = ₹10,00,000 − ₹5,00,000 = ₹5,00,000 → Fee = 12% of ₹5,00,000 = ₹60,000.
    12.3.3 Tier 4 amount = ₹12,00,000 − ₹10,00,000 = ₹2,00,000 → Fee = 10% of ₹2,00,000 = ₹20,000.
    12.3.4 Total Management Fee = ₹52,500 + ₹60,000 + ₹20,000 = ₹132,500.
    12.3.5 Total Agency Fee = Retainer ₹55,000 + Management Fee ₹132,500 = ₹187,500 (plus GST on service fees).

  9. MISCELLANEOUS TERMS & BEST PRACTICES
    13.1 Access & approvals: Client must provide timely access to ad accounts, landing pages, analytics, and other systems required for campaign work. Delays in access may delay campaign launch/optimisation.
    13.2 Data & reporting: Agency retains anonymised campaign performance data for internal reporting and case studies unless client requests confidentiality in writing. Client data privacy will be respected.
    13.3 Dispute resolution: Any disputes will be discussed in good faith; unresolved disputes may be escalated to mediation/arbitration per applicable law.
    13.4 Changes to terms: Agency reserves the right to update these terms with 30 days’ written notice; changes will not apply retroactively to fees already invoiced.

  10. AGREEMENT & ACCEPTANCE
    14.1 These Advertising Management Terms and Payment Terms & Conditions form part of the service agreement between Global Info Edge and the client.
    14.2 Any deviation from these terms must be agreed in writing and signed by authorised representatives of both parties.
    14.3 By approving an invoice or placing an order, the client acknowledges and accepts these terms.
